1. Acceptance of Terms

These Terms & Conditions (“Terms”) form an agreement between you (“Customer”, “you” or “your”) and JSV Tech Flux Pvt. Ltd. (“JSV Tech Flux”, “we”, “us” or “our”) concerning your access to and use of ZOOBILL and related websites, applications, software, support and services.

If you use ZOOBILL on behalf of a company, firm, store, organisation or other legal entity, you represent that you are authorised to accept these Terms on that entity’s behalf.

2. ZOOBILL Service

ZOOBILL is a software platform designed to help businesses manage retail operations. Depending on the plan and services purchased, functionality may include:

• Point-of-sale billing and invoicing.
• Product, inventory, stock and batch management.
• Purchasing, suppliers and transaction records.
• Customer management, loyalty and offers.
• Reports, analytics and business dashboards.
• GST, invoice and tax-related features where supported.
• Multi-branch, warehouse and user/role management.
• Online ordering, customer-facing applications and related commerce features.
• Integrations with third-party services where available.

Features can vary by plan, configuration, subscription, region, technical availability and implementation requirements.

3. Accounts & Access

You are responsible for providing accurate information when creating or maintaining your ZOOBILL account. You are also responsible for protecting login credentials, user access and authentication information.

• Do not share credentials in a manner that compromises account security.
• Assign access rights only to authorised users.
• Notify us promptly if you suspect unauthorised access.
• You remain responsible for activity performed through accounts and user permissions under your control, subject to applicable law.

4. Business, Employee & Customer Data

ZOOBILL may process information entered or generated by you, including product information, sales and purchase records, supplier details, customer information, employee/user details, invoices, transaction records, business configuration and other operational data.

You are responsible for ensuring that you have the necessary rights, permissions, notices and lawful basis required to collect and use personal information that you enter into ZOOBILL.

You must not use ZOOBILL to unlawfully collect, store, process or distribute personal information or other protected information.

5. Permitted & Prohibited Use

You may use ZOOBILL only for lawful business purposes and in accordance with these Terms.

You must not:

• Use the service for unlawful, fraudulent or deceptive activities.
• Attempt to gain unauthorised access to accounts, systems or infrastructure.
• Reverse engineer, decompile or attempt to extract source code except where expressly permitted by applicable law.
• Copy, resell, sublicense or commercially exploit ZOOBILL outside the rights granted under your subscription or written agreement.
• Upload malicious code, harmful files or content intended to disrupt the service.
• Interfere with the security, availability or normal operation of the platform.
• Use ZOOBILL to infringe intellectual-property, privacy or other rights of third parties.

6. Plans, Fees & Payments

ZOOBILL may be offered through subscription plans, one-time charges, implementation fees, add-ons or other commercial arrangements. The applicable pricing, billing cycle, inclusions and taxes will be communicated at the time of purchase or in the applicable order, quotation or agreement.

Unless otherwise stated, applicable taxes may be charged in addition to advertised prices.

Failure to pay applicable fees may result in restriction, suspension or termination of access, subject to the applicable agreement and law.

Refunds, cancellations and credits are governed by the commercial terms communicated for the relevant plan or order.

7. Third-Party Services & Integrations

ZOOBILL may integrate with payment gateways, messaging providers, e-commerce platforms, accounting/tax services, hosting providers, analytics services and other third-party products.

Third-party services are governed by their own terms and privacy policies. We are not responsible for independent changes, outages, policies or practices of third-party providers, except to the extent required by applicable law or a separate written agreement.

8. Intellectual Property

ZOOBILL, including its software, interface, designs, trademarks, branding, documentation and underlying technology, is owned by or licensed to JSV Tech Flux Pvt. Ltd. and is protected by applicable intellectual-property laws.

These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your active subscription or applicable service period. No ownership of the software is transferred to you unless expressly agreed in writing.

You retain rights in business information and content that you lawfully provide to the service, subject to the rights required for us to operate and provide ZOOBILL.

9. Availability, Updates & Changes

We aim to keep ZOOBILL available and reliable, but uninterrupted availability cannot be guaranteed in every circumstance. Maintenance, upgrades, infrastructure issues, internet failures, third-party outages and events outside our reasonable control may affect availability.

We may update, improve, modify or discontinue features from time to time. Where a material change substantially affects a paid service, we will take reasonable steps to communicate the change where appropriate.

10. Security & Data Protection

We use reasonable technical and organisational measures designed to protect information handled through ZOOBILL. However, no internet-connected service can be guaranteed to be completely secure.

You are responsible for maintaining appropriate device security, account credentials, user permissions, backups where required for your business, and safe operational practices.

11. Suspension & Termination

You may stop using ZOOBILL or request cancellation in accordance with your applicable commercial terms.

We may suspend or terminate access where reasonably necessary to address serious security risks, unlawful use, material breach of these Terms, non-payment, or other circumstances permitted by the applicable agreement or law.

Where appropriate and legally permitted, we may provide notice and an opportunity to remedy a breach before suspension or termination.

12. Disclaimers

ZOOBILL is a business software platform. Features that support billing, GST, tax, accounting, compliance, reporting or other regulated processes are provided as software functionality and should not be treated as legal, tax, accounting or financial advice.

You remain responsible for reviewing transactions, invoices, tax treatment, statutory filings and business records and for obtaining professional advice where appropriate.

Except where expressly stated in a written agreement or required by law, ZOOBILL is provided subject to applicable service terms without guarantees that every feature will meet every specific business requirement.

13. Limitation of Liability

To the maximum extent permitted by applicable law, JSV Tech Flux Pvt. Ltd. will not be liable for indirect, incidental, special, consequential or punitive losses arising from use of the service, including loss of profits, revenue, business opportunities or data, except where such limitation is not permitted by law.

Any liability limitations applicable to a particular paid service may also be governed by the applicable order, quotation, subscription agreement or other written commercial terms.

14. Governing Law & Disputes

These Terms are intended to be governed by the laws of India, subject to applicable mandatory legal requirements.

Any dispute will first be addressed through good-faith communication between the parties. Where a dispute cannot be resolved amicably, the appropriate courts or dispute-resolution mechanism having jurisdiction under the applicable agreement and law may be used.
